工程和法律英语（10）建设工程合同中“竣工日期”不是Time for Completion

前面讨论过Commencement Date开工日期。现在我们来看看对当事人权利义务关系同样会产生重要影响的另一个时间节点—竣工日期及相关表达。

例1—竣工日期：包括计划竣工日期和实际竣工日期。计划竣工日期是指合同协议书约定的竣工日期；实际竣工日期按照第13.2.3项［竣工日期］的约定确定（1.1.4.2）。工期：是指在合同协议书中约定的承包人完成工程所需的期限，包括按照合同约定所作的期限变更（1.1.4.3）（中国《建设工程施工合同（示范文本）》（GF—2017—0201））。

试译 ：“Completion Date” includes the Scheduled Completion Date and the Actual Completion Date. The Scheduled Completion Date means the Completion Date specified in the Contract Agreement， and the Actual Completion Date means the Completion Date determined under Sub-Clause 13.2.3 ［ Completion Date ］.“Period for Construction”means the time that is needed by the Contractor to complete the Works， as specified in the Contract Agreement， with any period adjustments under the Contract.

例2—“Time for Completion” means the time for completing the Works or a Section （as the case may be） under Sub-Clause 8.2 ［ Time for Completion ］， as stated in the Appendix to Tender（with any extension under Sub-Clause 8.4 ［ Extension of Time for Completion ］），calculated from the Commencement Date. （Contract for Construction， FIDIC， 1999）

试译：“工期”是指自开工日期算起，根据第8.2款［工期］规定，为完成工程或区段工程（视情况而定）而在投标书附录中载明的时间（包括第8.4款［工期的顺延］下的任何顺延）。

点评

1.竣工日期是工期计算的时间截止点，是判断工程是否如期竣工的依据，直接关系到合同当事人的工期责任；同时，实际竣工日期还是缺陷责任期/缺陷通知期计算的时间起点。

2.比较两例，容易发现，1999年FIDIC文本无中国示范文本中的专门定义的“计划竣工日期”和“实际竣工日期”，但两者都有“工期”的定义。本文认为中国示范文本的定义更便于理解和使用。然而，任何工程实际上都有竣工日期，1999年FIDIC文本在定义“缺陷通知期”时，实际上使用了“竣工日期”这个时间节点，指出Defects Notification Period （is） calculated from the date on which the Works or Section is completed as certified under Sub-Clause 10.1 ［ Taking Over of the Works and Sections ］ ，即：缺陷通知期从依据第10.1款 ［ 工程或分项工程的接收 ］ 确认的竣工日期起算。这里，竣工日期是通过一个定语从句来表达的。

3.这里特别指出三点：一是Time for Completion在有关中文文献里常被译成“竣工时间”，本文未采这种译法，而是直接根据定义文字的实际意思译成“工期”；二是将中文“工期”译成英文时也未采用Time for Completion，而是译成Period for Construction；三是将中文“竣工日期”译成英文时，直接采用commencement date的对称形式completion date。理由如下：在中文中，“时间”这个词同时具有时间的点和时间的段的意思，即时点和时段，时段是两个试点之间的时间长度；在英文中，time也一样，除了抽象的时间概念之外，特别是在合同中，time通常意思是point or period of time used， available or suitable for sth，这与中文如出一辙。在合同文本中，单独使用“时间”或者time，到底什么意思取决于上下文语境，因此存在误解的可能，需要进一步解释interpretation，不如直接使用能够显示是时点或时段的词。1999年FIDIC文本中定义的Time for Completion，根据定义本身，表达的应当是时段，而不是时点，所以译成中文“工期”这个具有时段含义的词；将“工期”译成Period for Construction，采用了period这个具有时段含义的词；同时，因为date这个词作为“日期”理解时只有时点含义，所以结合开工日期commencement date的表达，将“竣工日期”译成completion date，很完美。因此，在未特别定义的情况下，应当谨慎使用Time for Completion；如果使用，一定要清楚Time for Completion不等于“竣工日期”！
